Terms and Conditions
E & OE. VAT & delivery not included. Prices quoted are
valid for 30 days and are based on the total package offered. If
only some components are required, their individual prices may change.
Where we have scheduled work for you and you confirm this schedule,
if you postpone or cancel we charge a cancellation fee of 25% of
the quoted cost if less than 15 working days notice is given, 50%
if less than five working days notice is given, or 100% if if less
than one working days notice is given.
We reserve the right to charge pro rata for extra time spent by
our engineers due to circumstances beyond our control, including
but not limited to loss of power, internal network or Internet problems
or failure, or required software not installed. This applies even
where a fixed price for work was specified; the fixed price is for
the work we estimated and not for time spent due to problems or
events which we cound not control or could not have predicted.
Travel and subsistence expenses are charged at cost. Travel time
in excess of one hour each way from our offices is chargeable. None
of these are included in cost estimates or quotations.
Maintenance prices quoted assume maintenance is ordered at the
same time as other items. If ordered later, a surcharge of 25% of
the maintenace cost is payable.
Software maintenance, hardware maintenance, and telephone support
are not included unless explicitly specified and included as a line
item in your purchase order. On-site visits and dial-in diagnostic
work, and the phone charges for dial-up, are chargeable extras and
are not included in standard support or maintenance. On-site work
is always chargeable; the minimum amount of time charged is one
day. Except where there is a written and paid-for agreement from
UIT all support is provided by the equipment manufacturers. UIT
has no control over the delivery of such support services and
has no responsibility for them; you purchase them "as is". If
this is not acceptable, then you should not purchase the manufacturer's
services through UIT.
Our terms are cash on delivery (to customer site, or to UIT if
pre-configuration at our site is to be carried out) on hardware,
30 days from date of invoice on software and services. For services,
including consultancy, work in progress is invoiced monthly. Permanent
software activation keys are issued only on payment. We retain title
on all goods until paid in full. Hardware payment is due irrespective
of delays in software/service delivery.
We do not guarantee the systems, nor that they are Year 2000 compliant
but usually can at your request provide evaluation software, licences
and technical support for you to satisfy yourselves that the software
meets your requirements.
If goods are to be supplied on sale or return, this must be stated
in writing on your purchase order, otherwise it is a full sale.
If goods supplied on sale or return are registered with the manufacturer,
it is a full sale. If goods supplied on sale or return are returned,
they must be in perfect condition for resale including all their
packaging. If goods are not returned within the sale or return period
stated (or within five working days if no period was stated) the
order stands as a full sale. If goods or packaging are not in perfect
condition, we will make a charge to cover our time and effort in
restoring the goods to resaleable condition (and not just a charge
e.g. for the packaging materials themselves).
UIT shall not be liable to the Customer or to anyone else for any
loss or damage whatsoever or howsoever caused (and whether or not
caused by negligence) arising directly or indirectly in connection
with this product/consultancy, except to the extent that it is not
lawful to exclude such liability.
UIT shall not be liable to the Customer for any loss or damage
whatsoever or howsoever caused arising from any misrepresentation,
whether innocent or negligent, except to the extent that such liability
may not be lawfully excluded.
Notwithstanding the generality of the above, UIT expressly excludes
liability for consequential loss or damage, including but not limited
to loss or damage to data or to other equipment or property, (whether
or not the same may be in UIT's care, custody or control) or for
loss of profit, business, revenue, goodwill or anticipated savings.
In the event that any exclusion of liability contained in this
Agreement shall be held to be invalid for any reason and that UIT
become liable for loss or damage that is capable of being limited
in law, such liability shall be limited to the total of sums actually
paid by the Customer to UIT in respect of the product/consultancy.
For calloff agreements, at the end of the agreed period, if the
quantities ordered are less than the agreed total UIT will automatically
invoice for the shortfall.
These terms and conditions shall be governed by and construed in
